Corporate Governance Practices

The Manager and the Board of Directors of Enbridge Income Fund Holdings Inc. (EIFH) are committed to maintaining a high standard of corporate governance. They have continued to assess all governance policies and practices in light of regulatory initiatives in Canada that have been adopted to improve corporate governance, as well as the evolving standards and expectations for governance in the Canadian capital markets. The corporate governance structures, systems and practices generally conform with the governance rules and guidelines established by the Canadian Securities Administrators and the policies of the Toronto Stock Exchange (TSX).

Key aspects of Governance practices:

  • Majority of Directors are independent
  • Directors review, monitor and approve annual management and strategic plan
  • Audit Committee comprised of Independent Directors
  • Material transactions between manager/affiliates require approval of Independent Directors
  • Directors may engage outside advisors at the Corporations expense
  • Annual reporting to the Directors on compliance, by relevant employees, with the Enbridge Statement of Business Conduct and the Alliance Canada Code of Conduct
