Corporate Governance Practices
The Administrator and the Trustees of Enbridge Commercial Trust (ECT) are committed
to maintaining a high standard of corporate governance for the Fund. They have
continued to assess the Fund’s governance policies and practices in light of
regulatory initiatives in Canada that have been adopted to improve corporate
governance, as well as the evolving standards and expectations for governance
in the Canadian capital markets. The Administrator is of the view that the Fund’s
governance structures, systems and practices generally conform with the governance
rules and guidelines established by the Canadian Securities Administrators to
the extent consistent with the structure of the Fund and ECT and the terms of
the Fund

ECT are parties.
Enbridge Income Fund — Key aspects of Governance practices:
- Majority of Trustees are independent
- The nominees for elections as Independent Trustees must be approved by the Independent Trustees then in office
- Trustees review, monitor and approve annual management and strategic plan
- Audit Committee comprised of Independent Trustees
- Material transactions, between manager/affiliates and Fund require approval of Independent Trustees
- Trustees may engage outside advisors at the Fund's expense
