Enbridge Management Services Inc. is the Manager of Enbridge Income Fund Holdings Inc. (“the Company”) and provides management and administrative services to the Corporation. The Manager is incorporated under the laws of Canada and is a wholly-owned subsidiary of Enbridge. The head office of the Manager is located at 3000, 425 1st Street SW, Calgary, Alberta, T2P3L8. J. Richard Bird

Mr. Bird has been Executive Vice President, Chief Financial Officer and Corporate Development of Enbridge Inc. since January, 2008 and has been a senior executive officer of Enbridge Inc. for over 13 years. Mr. Bird is also a director of Enbridge Pipelines Inc., Enbridge Gas Distribution Inc., and Bird Construction Inc. (formerly Bird Construction Income Fund). Mr. Bird holds a Bachelor of Arts from the University of Manitoba, and a Masters of Business Administration and Ph.D. from the University of Toronto. Mr. Bird is also a graduate of the Advanced Management Program at the Harvard Business School.

Colin K. Gruending

Mr. Gruending was appointed Chief Financial Officer of the Manager on November 2, 2010. Mr. Gruending was appointed Vice President, Treasury & Tax of Enbridge Inc. on April 6, 2011. Immediately prior Mr Gruending was Vice President & Controller for Enbridge Inc, responsible for enterprise systems of control, budgeting, accounting research and financial reporting. Prior to assuming the Controllership role in 2005, Mr. Gruending served as Director, Investor Relations of Enbridge Inc. Mr. Gruending holds Chartered Accountant and Chartered Financial Analyst designations.

Leigh D. Kelln

Ms. Kelln was appointed Controller of the Manager on July 1, 2009 and was appointed Director, Financial Reporting of Enbridge Inc. on June 15, 2009. Prior to her current appointments, Ms. Kelln held the position of Corporate Controller for an international oilfield services firm based in Calgary, Alberta from October 2004 to June 2009. Ms. Kelln is a Chartered Accountant and holds a Bachelor of Commerce (with distinction) degree from the University of Calgary.

Debra J. Poon

Ms. Poon was appointed Corporate Secretary of the Manager on January 4, 2011 2005 and is Senior Legal Counsel with Enbridge since September 2010. Prior to joining Enbridge she practiced law at McCarthy Tetrault LLP, a major Canadian law firm, primarily in the areas of corporate, commercial and securities law. Ms. Poon has been a member of the Law Society of Alberta since 1983 and the Law Society of Upper Canada since 1994 and holds a Bachelor of Laws degree and a Bachelor of Arts (Hons.) degree from The University of Alberta.

David T. Robottom

Mr. Robottom was appointed Executive Vice President & Chief Legal Officer of Enbridge Inc. on October 4, 2010. Mr. Robottom was Group Vice President, Corporate Law, Enbridge Inc. since June 2006, responsible for Enbridge’s corporate legal function. Immediately prior to joining Enbridge, Mr. Robottom was a senior partner with Stikeman Elliott LLP, a major Canadian law firm, from February 2004 to May 2006. Prior thereto, Mr. Robottom was a senior partner at Fraser Milner Casgrain LLP, another national Canadian law firm, and served as Chief Executive Officer of that firm from February 1999 to February 2003. Mr. Robottom is also a director of Enbridge Gas Distribution Inc. and Gaz Métro inc. Mr. Robottom holds Bachelor of Commerce (With Distinction), Master of Business Administration and Bachelor of Laws degrees. Mr. Robottom is also a graduate of the Advanced Management Program at the Harvard Business School.

John K. Whelen

Mr. Whelen was appointed President of the Manager on October 1, 2010. Mr. Whelen was the Vice President, Business Development and Chief Financial Officer for the Manager, the entity that administers the affairs of Enbridge Income Fund. Mr. Whelen was appointed Senior Vice President & Controller of Enbridge Inc. on April 6, 2011. Immediately prior Mr. Whelen was Senior Vice President, Corporate Development for Enbridge Inc. responsible for Enbridge Inc.’s corporate development and planning functions. Prior to these roles, Mr. Whelen served as Vice President & Treasurer of Enbridge Inc. responsible for corporate and project finance, cash management and banking, and financial risk management.

Stephen J. Wuori

Mr. Wuori was appointed President, Liquids Pipelines of Enbridge Inc. on October 4, 2010. Mr. Wuori was Executive Vice President, Liquids Pipelines of Enbridge Inc. since January, 2008 and has been a senior executive officer of Enbridge Inc. for over 11 years. Mr. Wuori is also a director of Enbridge Pipelines Inc., Enbridge Energy Company, Inc. and Enbridge Energy Management, L.L.C. Mr. Wuori has over 29 years of operations and business experience at Enbridge, and holds a Bachelor of Science (Civil Engineering) from Michigan Technological University and is a graduate of the Advanced Management Program at the Harvard Business School.

Darren J. Yaworsky

Mr. Yaworsky was appointed Treasurer of the Manager on May 9, 2011. Mr. Yaworsky is Director, Treasury of Enbridge Inc. responsible for Canadian Capital Market transactions. Mr. Yaworsky joined Enbridge in 2008 and has held progressively senior positions within the Treasury Group prior to his current appointment. Mr. Yaworsky holds a Bachelor of Commerce, Economic Development and MBA and is currently a candidate for a Doctorate in Business Administration. Mr. Yaworsky also holds a Certified Economics Developer designation.
