Trustees
CIBC Mellon is the Trustee of the Enbridge Income Fund Holdings ("EIFH").
Enbridge Commercial Trust (ECT) is the entity within EIFH structure that conducts the affairs of, and the ownership, operation and lease of assets and property in connection with the business of energy transportation for EIFH.
Currently, the number of ECT Trustees that govern the fund is fixed at eight
(five of whom are Independent ECT Trustees) until such time as the
ECT Trustees pass a resolution to fix the number of ECT Trustees at
a new number.
ECT shall have not fewer than five and not more than 15 trustees, a majority of whom will be residents of Canada within the meaning of the Tax Act. At least a simple majority of the ECT Trustees will be elected by Unitholders and will be Independent ECT Trustees. The remainder of the ECT Trustees will be appointed by the Manager - Enbridge Management Services Inc, a wholly owned subsidiary of Enbridge Inc.

Richard (Dick) Auchinleck
 |
Mr. Auchinleck held the position of President & Chief Executive Officer of
Gulf Canada from 1998 to 2001. Prior thereto, Mr. Auchinleck held the
positions of Chief Operating Officer of Gulf Canada (from 1995 to 1998), as
well as Chief Executive Officer of Gulf Indonesia (from 1997 to 1998). In
1995, he was appointed Senior Vice President, International and Exploration
of Gulf Canada, which included responsibilities for both marketing and
acquisitions. Mr. Auchinleck is also a director of public issuers:
ConocoPhillips, and Telus Corporation. Mr. Auchinleck holds a Bachelor of
Applied Science degree in Chemical Engineering from the University of
British Columbia. |

Ms. Best is a director of the following public issuers: Canadian Natural Resources Limited and
Superior Plus Income Fund. She is a Chartered Accountant and a Fellow of the Chartered Accountants
as awarded by the Institute of Chartered Accountants of Alberta.
She was the Executive Vice-President, Risk Management and Chief Financial Officer of the Calgary
Health Region from 2000 to March, 2009 and in that role was responsible for all finance functions.
Before joining the Calgary Health Region she was a partner
with Ernst & Young in Calgary for nineteen years, the last ten as Corporate Audit Partner.

Mr. Bird is Executive Vice President, Chief Financial Officer and Corporate Development, Enbridge Inc. and is responsible for Enbridge's principal financial functions and corporate planning, mergers, acquisitions and business development. Prior to his appointment Mr. Bird was responsible for all of Enbridge's crude oil and liquids pipeline operations in North America, including Enbridge Pipelines and its related liquids pipelines operations, and Enbridge's many opportunities for new pipelines to transport growing oil sands production. Prior to his current appointment, Mr.
Bird was Group Vice President, Liquids Pipelines and prior thereto Senior
Vice President, Corporate Planning and Development. Mr. Bird joined
Enbridge in 1995 after holding senior financial and corporate development
executive positions at a number of other companies. Mr. Bird is also
a director of the following public issuers: Bird
Construction Income Fund (formerly Bird Construction Company Limited), Enbridge Pipelines Inc. and
Enbridge Gas Distribution Inc. Mr. Bird holds a Bachelor of Arts from the
University of Manitoba, and a Masters of Business Administration
and Ph.D. from the University of Toronto. |

Mr. Braithwaite held the position of President and Chief Executive Officer of Cambridge Shopping Centres Limited from 1978 to 2001. Mr. Braithwaite is also a Director of Enbridge Inc., Enbridge Gas Distribution Inc., Bata Shoe Corporation, Jannock Properties Limited, Canada Post Pension Plan, Northern Group Retail Ltd. and Seacan Realty. Mr Braithwaite holds a Masters of Business Administration from the University of Western Ontario. |

Dr. Cannon is President of the University of Calgary and was appointed to that position effective July 1, 2010. Prior to that Dr. Cannon was Dean of the Schulich School of Engineering since July 2006. Dr. Cannon has been Professor of Geomatics Engineering at the
University of Calgary since 1996. From 2002 to 2003, she was a Special
Advisor to the President, University of Calgary where she worked
with the President, the Provost and other university leaders to provide
advice on the university's academic plan. Prior thereto, Dr. Cannon
held the position of Associate Professor, Geomatics Engineering at
the University of Calgary from 1993 to 1996. Dr. Cannon holds a Ph.D.,
Master of Sciences and Bachelor of Sciences in Geomatics Engineering
from the University of Calgary, and a Bachelor of Sciences in Mathematics
from Acadia University. |

David Robottom

Mr. Robottom is Executive Vice President, Law, Enbridge Inc. and was appointed to that position effective January 1, 2010. Prior to that Mr. Robottom was Group Vice President, Corporate Law, Enbridge Inc. since June 2006. He is responsible for the Enbridge's
corporate legal function. He is also a director of Gaz Métro Inc. He has extensive legal experience, particularly
in the commercial area, and in-depth management experience, having been
the National Managing Partner of Fraser Milner Casgrain. Immediately
prior to joining Enbridge he was a senior partner with Stikeman Elliott. Mr. Robottom
holds Bachelor of Commerce (with Distinction), Master of Business Administration and Bachelor of Laws degrees. |

Mr. Tallman retired as the Senior Vice President, Prairies Region
of Royal Bank of Canada in 2002, after a career spanning 41 years.
Some of Mr. Tallman's key management responsibilities with the Royal
Bank included Senior Vice President Lending — Risk Management Group,
Senior Assistant Manager, Vancouver Branch, Senior Vice President,
Prairies, Vice President, Global Energy Group and Vice President,
Commercial Banking & National Accounts. Mr. Tallman is also a director
of the following public issuers: Big Rock Brewery Ltd. (a subsidiary
of Big Rock Brewery Income Trust), Oilsands Quest Inc. and PFB Corporation.
Mr.Tallman is a recent graduate of the Directors' Education Program,
Corporate Governance College of the Institute of Corporate Directors. |

President of Enbridge Pipelines Inc. Mr. Wuori is also a director of

Pipelines Inc., Enbridge Energy Company, Inc. and Enbridge Energy Management, L.L.C. (the general partner and delegate of the general partner, respectively of Enbridge Energy Partners L.P.)
Mr. Wuori has over 28 years of operations and business
experience at Enbridge, and holds a Bachelor of Science (Civil Engineering)
from Michigan Technological University. |
